data room user's guide

CUSTOMIZE YOUR DATA ROOM

Add your logo, greeting note, photo... (1). Give rights to a colleague, by inviting him as administrator in your first data room, you will then validate him or not in the others (4).

SEARCH FOR TARGETS

Create a new operation with a first consultation data room in partitioned mode (2). Choose if you rely on administrators (4). If you have a lot of documents "pitching" the operation, resume the presentation of a previous operation (2) or define folders for filing documents (3). Add the document(s) (7).

Invite targets (6) to share the pitch (7); exchange confidentially with them (8); collect confidentiality undertakings (17).

UPLOAD FILES FOR VIEWING

To prepare for the audit, create a collection data room linked to the operation that you will open to those who load with you (in partitioned collection if it is embarrassing for a guest to see what the others are adding) (9) (if you have not already created a targeting data room, create a new operation for this collection data room (2bis)). Resume the presentation of a previous operation (9) or define folders for filing documents (3). Choose if you rely on administrators (4). Invite those who will load the data room (6). Exchange messages and instructions with one (8) or all those who load (7), including the level of confidentiality of each document. Correct their loading, on one document (11) or on several documents (12).

OPEN THE CONSULTATION TO ONE OR MORE TARGETS

Duplicate the collection data room into a linked audit data room. If several competing targets need to consult the same documents in parallel, choose "multi-applicants". If teams need to work in parallel on different documents (several targets at different stages, or specialized teams of a single target), create several linked data rooms (13) by removing unnecessary files from each data room (15). Choose if you rely on administrators to answer questions directly (4).

Invite targets (6); you can add a guest to multiple linked data rooms (14). Follow the progress of the data room, who is viewing what, invitation history... (16). View questions (17) and answer a guest (8) or team (7).

CLOSE THE OPERATION

Transmit the necessary elements to the purchaser: retrieve (in xls format) three lists (the list of rooms, the time-stamped list of consultations, the list of guests who had access to the data room) (16), reprocess them if necessary and send to the purchaser what he wishes (18). Retrieve all the contents of the data room for archiving (18) and permanently delete the operation (19).
